Terms & Conditions

1. General Provisions

These Terms & Conditions govern the purchase, licensing, and use of digital products and services offered through opcart.eu (the "Website") by its operator (the "Provider"). By placing an order, You agree to these Terms, subject to any mandatory rights and protections granted by applicable law.

The Website offers digital products and related services to both business customers and consumers. Where You purchase products or services as a consumer, Your statutory consumer rights remain fully applicable. Any individually agreed contractual terms for business customers shall apply to the extent permitted by law.

Product descriptions, prices, technical requirements, license conditions, and any additional service terms presented before purchase form part of the relevant agreement. Separate consent required by law, including consent to immediate digital delivery, is obtained independently of general acceptance of these Terms.

2. License and Usage Rights

Unless otherwise stated in the product description or an individual agreement, digital software products are supplied under a non-exclusive perpetual license, subject to the conditions below and applicable intellectual property law.

  • Single Domain: The license permits use on one live production domain and its associated technical subdomains used for development, testing, or staging. Use on additional independent production domains requires a separate license, unless otherwise expressly agreed.
  • Permitted Use: You may install, configure, and use the purchased software for its intended purpose within the scope of the license. Rights granted by mandatory applicable law remain unaffected.
  • Redistribution: Unauthorized publication, sublicensing, distribution of copies, or commercial redistribution of the software code, whether in original or modified form, is prohibited. This restriction does not prevent the lawful transfer or resale of a software copy or license where such transfer is permitted under applicable law, including the rules on exhaustion of distribution rights.
  • Intellectual Property: Copyright and other intellectual property rights in the software code, design, and related materials remain with their respective rights holders. Purchasing a license does not transfer ownership of those rights.
  • License Duration: A perpetual license permits continued use of the licensed version without a recurring license fee, subject to these Terms. It does not, by itself, guarantee indefinite compatibility with future versions of OpenCart, third-party software, hosting environments, or other technologies.

3. Right of Withdrawal, Refunds, and Statutory Remedies

Consumers: Where applicable, consumers have a statutory right to withdraw from a distance contract within 14 days without giving a reason, subject to the exceptions and conditions established by applicable law.

Digital content not supplied on a physical medium: The right of withdrawal may be lost once the supply of digital content has begun, provided that the consumer has given prior express consent to the supply beginning during the withdrawal period, has acknowledged the resulting loss of the right of withdrawal, and the Provider has supplied the required contractual confirmation on a durable medium. Placing an order or accepting these Terms alone does not constitute such separate consent.

Digital services and other services: Where a statutory right of withdrawal applies, the withdrawal period generally begins when the contract is concluded. If the consumer expressly requests performance to begin during that period and subsequently withdraws before the service has been fully performed, a proportionate payment may be due where permitted by law and the applicable information requirements have been met. For service contracts, the right of withdrawal may be lost following full performance only where the applicable statutory conditions have been satisfied.

Defective or non-conforming digital products and services: The expiry or loss of the right of withdrawal does not affect statutory remedies for failure to supply, defects, lack of conformity, or other breaches of contract. Where a product or service does not conform to the agreement, the consumer may be entitled to have it brought into conformity free of charge, to receive an appropriate price reduction, or to terminate the contract and obtain reimbursement, as provided by applicable law.

We will assess reported defects and seek to resolve them within a reasonable period and without significant inconvenience to the consumer. No fixed technical support period or internal troubleshooting deadline limits the consumer's statutory remedies.

Any reimbursement required by applicable law will be made within the legally prescribed period and by the prescribed payment method, unless another method has been expressly agreed where permitted.

Business customers: Where mandatory consumer protection rules do not apply, cancellation and refund rights are governed by the relevant agreement and applicable law. Requests for refunds or cancellation may also be considered individually.

4. Technical Support and Updates

Unless otherwise specified for an individual product, we provide free product-related technical support for 12 months from the date of purchase.

Verified purchasers with an account on our Website may download updated versions of their purchased products without an additional update fee whenever such versions are published during the product's supported lifecycle. A perpetual license does not constitute a commitment to develop new versions indefinitely. This policy does not restrict any mandatory obligation to provide updates, including security updates, required to keep digital content or services in conformity with the contract under applicable law.

Technical support includes:

  • Assistance with diagnosing and resolving errors related to the purchased product.
  • Consultations concerning the functionality described in the product documentation.
  • Guidance regarding available updates and compatibility requirements.

Unless expressly included in the purchased product or service, standard technical support does NOT include:

  • General training in the use or administration of OpenCart CMS.
  • Installation and configuration performed by our staff, unless this service has been ordered or included in the purchase.
  • Custom development or individual modification of functionality to meet specific business requirements.
  • Resolution of independent hosting infrastructure issues or defects caused exclusively by unrelated third-party software.

These exclusions do not limit our obligations where an installation error, compatibility issue, or other problem constitutes a lack of conformity for which the Provider is responsible under applicable law.

5. Limitation of Liability

Digital products are supplied with the features, functionality, compatibility requirements, and limitations described in the relevant product documentation. We do not guarantee uninterrupted operation in every possible technical environment or compatibility with software versions and third-party components that are not included in the agreed product specifications.

To the extent permitted by applicable law, the Provider is not responsible for losses caused solely by unauthorized modifications, use outside documented technical requirements, failures of unrelated third-party systems, or circumstances beyond the Provider's reasonable control.

Customers are advised to maintain current backups of their website, databases, and configuration files before installing or updating software. Where appropriate, software changes should first be tested in a separate development or staging environment.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability arising from intentional misconduct or other circumstances protected by mandatory law, or restricts consumers' statutory rights and remedies.

6. Complaints and Alternative Dispute Resolution (ADR)

If You have a complaint concerning a digital product or service, please contact us through the Website's contact page. We will examine the complaint and respond in accordance with applicable legal requirements.

If a consumer dispute cannot be resolved directly, the consumer may seek assistance from a competent alternative dispute resolution (ADR) body, subject to the applicable eligibility and procedural rules.

Information about consumer dispute resolution bodies in the European Union is available through the European Commission's Consumer Redress portal: https://consumer-redress.ec.europa.eu/

Information about the Estonian Consumer Disputes Committee and its jurisdiction is available through the Estonian Consumer Protection and Technical Regulatory Authority: https://www.ttja.ee/en/consumer-disputes-committee

The former European Commission Online Dispute Resolution (ODR) platform was discontinued on 20 July 2025 and is no longer available for submitting complaints.

Nothing in this section prevents either party from exercising any right to seek judicial remedies before a competent court.

7. Governing Law

These Terms are governed by the laws of the Republic of Estonia, subject to applicable rules of private international law.

Where You are a consumer residing in another country, this choice of law does not deprive You of the protection of mandatory consumer law provisions that would apply in the absence of this choice, where such protection is required under applicable law, including Regulation (EC) No 593/2008 (Rome I).
